Kiid AI Referral Program Terms & Conditions

These Terms & Conditions ("Program Terms") govern the Kiid AI Invite Friends Referral Program ("Program") operated by Kiid AI, Inc. ("Kiid AI," "we," "us," or "our"). The Program is offered as an authorized feature of the Kiid AI Services and participation is expressly permitted notwithstanding any non-commercial-use restrictions in the Kiid AI Terms of Service. By participating in the Program, you agree to be bound by these Program Terms, in addition to the Kiid AI Terms of Service ("TOS") and Privacy Policy. In the event of a conflict between these Program Terms and the TOS, these Program Terms control solely with respect to the Program. All capitalized terms not defined herein have the meanings set forth in the TOS.

No purchase is necessary to participate. Void where prohibited by law.

1. Program Overview

The Program allows eligible Kiid AI users ("Referrers") to invite friends to join Kiid AI using a unique referral code. When five (5) invited friends successfully create qualifying accounts (as defined in Section 3), the Referrer will receive an Amazon gift card valued at $25.00 in the Referrer's local currency ("Reward"): $25.00 USD for Referrers located in the United States, or $25.00 CAD for Referrers located in Canada.

2. Eligibility

To participate in the Program as a Referrer and earn Rewards, you must:

  • Be at least fourteen (14) years of age.
  • Have a valid, active Kiid AI account in good standing with a completed onboarding profile.
  • Reside in the United States or Canada, excluding the province of Quebec. Residents of Quebec are not eligible for this Program.

Employees, contractors, and affiliates of Kiid AI and their immediate family members are not eligible to participate.

3. How It Works

  • Each eligible user is assigned a unique referral code within the Kiid AI app.
  • Share your referral code with friends who do not currently have a Kiid AI account.
  • A "qualifying referral" is counted when an invited friend: (a) downloads the Kiid AI app, (b) enters your referral code during sign-up, (c) fully completes account creation and onboarding, and (d) is a real, unique individual (as described in Section 6).
  • Once five (5) qualifying referrals are verified, you become eligible for the Reward.

4. Referral Disclosure Requirement

When sharing your referral code, you must disclose that you may receive a reward for successful referrals. This is required by the U.S. Federal Trade Commission's Endorsement Guides and the Canadian Competition Bureau's guidance on material connections.

  • When posting about Kiid AI on social media, in direct messages, in group chats, or through any other communication channel, you must include a clear and conspicuous disclosure, such as: "I may earn a reward if you sign up using my code."
  • You may not make false, misleading, or unsubstantiated claims about the Kiid AI app or its features.
  • Failure to comply with disclosure requirements may result in disqualification from the Program and forfeiture of any pending or earned Rewards.

5. Invite Mechanics & Privacy

  • Kiid AI does not send referral invitations on your behalf. The Program works by providing you with a personal referral code that you share directly with friends through your own communication channels (text, social media, in-person, etc.).
  • Kiid AI does not access, collect, or store your contacts or address book in connection with the Program.
  • You are solely responsible for the content and manner of any communications you send when sharing your referral code, and you agree to comply with all applicable laws including, without limitation, the U.S. CAN-SPAM Act and Canada's Anti-Spam Legislation (CASL).

6. Fraud Prevention & Prohibited Conduct

Kiid AI takes the integrity of the Program seriously. The following activities are strictly prohibited:

  • Creating duplicate, fake, or fraudulent accounts to inflate referral counts.
  • Referring yourself using alternate accounts, email addresses, or devices.
  • Using bots, scripts, or any automated methods to generate referrals.
  • Incentivizing or paying others to create accounts solely for the purpose of fulfilling referral requirements.
  • Sharing your referral code in a manner that is misleading, deceptive, or violates the TOS or any applicable law.
  • Any other activity that Kiid AI determines, in its sole discretion, to be fraudulent, abusive, or inconsistent with the spirit of the Program.

Each referred friend must be a real, unique individual. For the purposes of this Program, a "real, unique individual" means a natural person who (a) has not previously held a Kiid AI account, (b) creates and uses the account for genuine personal use, (c) is not the same person as the Referrer or any other referred user under a different identity, and (d) meets the age and eligibility requirements of the TOS.

Kiid AI reserves the right to verify the legitimacy of all referrals using any means available, including but not limited to device fingerprinting, IP analysis, and behavioral signals. We will not issue Rewards for referrals determined to be fraudulent, and any Rewards already issued in connection with fraudulent activity may be revoked. Violation of these rules may result in disqualification from the Program, forfeiture of pending Rewards, and/or suspension or termination of your Kiid AI account.

7. Reward Delivery

  • Rewards will be delivered via email to the email address associated with your Kiid AI account.
  • Rewards will be sent within three (3) business days of verification that five (5) qualifying referrals have been completed.
  • Rewards are issued in the form of an Amazon gift card: $25.00 USD (United States) or $25.00 CAD (Canada), based on the country associated with the Referrer's Kiid AI account. "Country associated with the account" is determined by the country you selected during account registration, or if none was selected, by your IP-based geolocation at the time of account creation. Amazon gift cards are subject to Amazon's own terms and conditions.
  • Kiid AI is not responsible for lost, delayed, or undelivered emails. Please check your spam or junk folder if you do not receive your Reward.

8. Referral Limits

  • Each Referrer may earn a maximum of one (1) Reward (i.e., five qualifying referrals) during the lifetime of the Program.
  • Kiid AI reserves the right to modify or discontinue the Program at any time.

9. Tax Responsibility

You are solely responsible for any tax obligations that may arise from receiving a Reward under this Program. In the United States, prizes and awards are generally included in gross income for federal tax purposes. Kiid AI reserves the right to request tax information (such as a completed IRS Form W-9 or equivalent Canadian form) before issuing a Reward where required by applicable law. Kiid AI may report Reward values to tax authorities as required. Kiid AI does not provide tax advice and recommends that you consult a tax professional regarding any applicable tax implications.

10. Modification & Termination

Kiid AI reserves the right to modify, suspend, or terminate the Program, or any part of these Program Terms, at any time and for any reason, with or without notice. Changes will be effective upon posting of updated Program Terms and will apply prospectively only. Any qualifying referrals already completed before a modification will continue to count toward Reward eligibility under the terms in effect when those referrals were completed.

In the event of Program termination, Referrers who have already completed five (5) qualifying referrals will still receive their Rewards. Pending referrals that have not yet reached the five-referral threshold at the time of termination will not be honored, unless otherwise stated by Kiid AI.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Kiid AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the Program, including but not limited to the inability to use or redeem a Reward. Kiid AI's total liability in connection with the Program shall not exceed the value of the Reward ($25.00 USD or $25.00 CAD, as applicable). Nothing in this section limits liability for death, personal injury, fraud, or willful misconduct where such limitation is prohibited by law.

12. Dispute Resolution

Any dispute arising out of or relating to the Program shall be resolved in accordance with the dispute resolution provisions set forth in Section 21 (Agreement to Arbitrate and Class Action Waiver) of the Kiid AI Terms of Service. By participating in the Program, you agree that disputes related to the Program are subject to binding, individual arbitration and that you waive any right to participate in a class action, representative proceeding, mass action, or consolidated action in connection with the Program.

13. Governing Law

These Program Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions, consistent with Section 19 of the TOS.
